Portal Terms of Service

This Portal Terms of Service (the "Terms") governs your access to and use of the technical support portal and secure file repository provided by iSentek Inc. ("iSentek", "we", or "us"). By registering an account, accessing the portal, downloading technical documentation, or submitting a technical support request, you agree to be legally bound by these Terms.

1. Account Obligations and Security

Portal access is strictly limited to authorized partners, distributors, and registered customers.

Credential Security: You must not share your login credentials with third parties or allow unauthorized access to your account under any circumstances.
User Responsibility: You are solely responsible for maintaining the confidentiality of your account credentials and for all activities, submissions, and communications that occur under your account.
iSentek reserves the right to suspend or terminate accounts at its sole discretion if it determines that a user has violated these Terms, exhibited abusive behavior, or attempted to compromise the security or integrity of the portal.

2. Confidentiality and NDA Applicability

The iSentek portal contains highly sensitive proprietary information, including but not limited to advanced datasheets, reference designs, firmware, and application notes.

Binding NDA: All technical documentation and communications provided through this portal constitute "Confidential Information" and are strictly governed by the Non-Disclosure Agreement (NDA) you agreed to during the account registration process.
Prohibition on Sharing: You may not share, distribute, publish, or reverse-engineer these materials. They must only be used for the authorized purpose of integrating, evaluating, or supporting iSentek products.

3. Scope of Technical Support

The portal is provided to facilitate technical inquiries, provide access to documentation, and deliver support for iSentek components.

"As-Is" Provision: All technical support, code snippets, documentation, and recommendations provided by iSentek Field Application Engineers (FAEs) or support staff are provided strictly on an "as is" basis without warranties of any kind, whether express or implied.
Limitations: Support services are exclusively limited to iSentek products and do not extend to third-party software, unauthorized modifications, or hardware issues external to our product lines. iSentek does not guarantee that any specific technical issue will be resolved.

4. Intellectual Property Rights

iSentek IP: All scripts, documentation, schematics, reference designs, and technical solutions provided by the iSentek support team remain the sole and exclusive intellectual property of iSentek Inc. No implied licenses or rights are granted under these Terms.
User Submissions: While you retain ownership of the raw data, logs, and inquiries you submit in your technical requests, you hereby grant iSentek a limited, perpetual, royalty-free license to process, store, and utilize that data to fulfill your support requests, perform Failure Analysis (FA), and improve our products and services.

5. Acceptable Use and Export Compliance

By utilizing the portal, you agree that you will not use the platform to upload malicious code, submit fraudulent RMA requests, or bypass download restrictions.

Furthermore, you acknowledge that the technical data, software, and documentation available on this portal are subject to local and international export control laws. You agree to comply strictly with all applicable export regulations and assume sole responsibility for obtaining any required export or import licenses before transferring downloaded technical data across borders.

6. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall iSentek Inc., its directors, employees, or agents be liable for any indirect, incidental, special, punitive, or consequential damages. This includes, without limitation, damages for data loss, production downtime, equipment failure, bodily injury, or lost profits arising from or related to the use of this portal, the inability to use the portal, or the implementation of any technical support provided, regardless of the theory of liability.

7. Modification and Termination

Modifications: iSentek reserves the right to modify or update these Terms at any time without prior notice. Your continued use of the portal following the posting of any updated Terms constitutes your explicit acceptance of such modifications.
Termination: iSentek may terminate your access to the portal immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms or the associated NDA. Upon termination, your right to use the portal will immediately cease, and you must destroy any downloaded Confidential Information in your possession.

8. Governing Law and Jurisdiction

These Terms shall be governed by and construed strictly in accordance with the laws of Taiwan, R.O.C., without regard to its conflict of law principles. Any disputes or claims arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the Taipei District Court.

Non-Disclosure Agreement

This Agreement is made and entered into, as of [Date of Account Creation/Acceptance] ("Effective Date"), by and between iSentek Inc. ("Discloser"), a company incorporated under the laws of Taiwan, R.O.C. and having its principal office at 21F-4, No. 77, Sec. 1, Xintai 5th Rd., Xizhi Dist., New Taipei City 22101, Taiwan, and the registering user ("Recipient").

WHEREAS, Discloser desires to disclose to Recipient certain confidential and/or proprietary information ("Confidential Information") concerning the Business Collaboration, and Recipient desires to receive Confidential Information for the purpose of Business Collaboration ("Purpose"). NOW THEREFORE, in consideration of the foregoing promises and the covenants and agreements set forth in this Agreement, the parties agree as follows:

1. Recipient shall use the same degree of care to protect the confidentiality of Confidential Information as it uses to protect its own confidential or proprietary information of like character and importance, but in no event less than reasonable care.

2. Recipient shall restrict the disclosure of Confidential Information within its organizations to employees, directors, and advisors having a need to access Confidential Information for the Purpose.

3. Recipient shall not use Confidential Information except for the Purpose.

4. Recipient shall not disclose any portion of Confidential Information to any third party without the prior written consent of Discloser.

5. Confidential Information shall include:

(a) information clearly marked as "confidential" or "proprietary";

(b) information not easily marked, including information released orally and/or embedded in components and/or equipment, but clearly expressed as confidential or proprietary at the time of disclosure and further designated in writing as "confidential" or "proprietary" within ten (10) days after its disclosure.

Confidential Information shall not include information that:

(a) is already in Recipient's possession,

(b) was or becomes available to the public from a source other than Recipient,

(c) is required to be disclosed by law,

(d) becomes available to Recipient on a nonconfidential basis from a source other than Discloser, provided that such other source is not known to Recipient to be in violation of any other obligation of confidentiality or nonuse, or

(e) is independently developed by Recipient.

6. If Recipient, with the prior written consent of Discloser, releases Confidential Information to any third party, such third party should be bound by the same obligation as Recipient imposed by this Agreement.

7. All Confidential Information provided by Discloser to Recipient under this Agreement shall remain the sole property of Discloser.

8. Covenant Not to Solicit. During the Restricted Period, Recipient shall not:

(a) solicit any of Discloser's employees to work for any Person,

(b) hire any of Discloser's employees to work (as an employee or an independent contractor) for any Person,

(c) take any action that may reasonably result in any of Discloser's employees going to work (as an employee or an independent contractor) for any Person,

provided, however, that nothing herein shall prohibit Recipient from making a general employment solicitation to the public that does not target any employee or independent contractor of the Discloser and then having contact with and/or employing such employee or independent contractor who responds to such a general solicitation or who otherwise independently contacts Recipient.

9. No rights, obligations, representations, or terms other than those expressly recited herein are to be implied by this Agreement.

10. This Agreement may be amended only by a written agreement executed by duly authorized representatives of Discloser and Recipient.

11. The term of these obligations of nonuse and confidentiality shall be two (2) years from the Effective Date of this Agreement.

12. The terms of this Agreement shall be governed by and construed in accordance with the laws of Taiwan, and the parties' consent to submit themselves to the jurisdiction of the Taipei District Court of Taiwan.
